Terms & Conditions
Important notice. These Terms govern business customers and consumers. Sections marked “Business Customers” or “Consumers” apply only to that category. Mandatory consumer law cannot be excluded. Every shipment remains subject to acceptance, verification, route feasibility, carrier and border rules, and a written Service Order.

3Application and contract formation
These Terms apply to use of the website and to every Service Order unless TESSA expressly agrees different terms in writing. A website request is an invitation to discuss Services, not an acceptance or guaranteed dispatch. A contract forms only when TESSA issues written acceptance of a sufficiently defined Service Order and any required deposit or prepayment has cleared. If documents conflict, the Service Order prevails for its commercial and operational details, then these Terms, then any customer purchase order; customer terms do not apply unless TESSA accepts them in writing.
The person placing an order confirms that they are at least 18, have authority to bind the Customer, and may lawfully provide all information and property involved. Electronic communications and signatures may be used to form and evidence the contract.
4Scope of Services
TESSA provides bespoke, time-critical logistics, including on-board courier services, next-flight-out coordination, authorised FBO collection, document delivery, component transport, private-desk delivery and chain-of-custody records. The scope is only what the Service Order states. Unless expressly included, Services do not include packing, valuation, insurance, customs brokerage or representation, legal advice, dangerous-goods classification, import or export licensing, storage, installation, or verification of the authenticity or legal effect of documents.
Any departure, transit or delivery time is an operational target, not a guarantee, unless the Service Order expressly calls it guaranteed and states the agreed remedy. Flights, security screening, weather, borders, authorities, strikes, technical failures and third-party carriers can affect timing.
5Authorisation and records
For each assignment the Customer provides, before collection, a signed Letter of Authorisation identifying the Consignment, the parties and the route. The releasing party may release the Consignment after checking the Courier’s identity and the booking reference. TESSA keeps a chain-of-custody record and obtains proof of delivery. Identity checks record the document type only, not document numbers. The Assignment Documents, read with the Service Order, are the record of custody and delivery.
6Customer responsibilities
The Customer shall:
- Give complete, accurate and timely information about the Consignment, parties, route, deadline, dimensions, weight, value, fragility, security needs, customs status and any regulated characteristic.
- Obtain and supply all required authorisations, invoices, permits, licences, declarations, customs documents and recipient instructions.
- Ensure lawful title or authority to send the Consignment, and that its collection, carriage, transit, import, export, possession and delivery are lawful in every relevant jurisdiction.
- Package and label the Consignment for repeated handling, screening, cabin or checked carriage and weather, unless packing is expressly included.
- Disclose the true replacement or commercial value and nature of the Consignment. Business Customers shall arrange and maintain, at their own expense, all-risk cargo insurance covering the full declared value of the Consignment from collection to final delivery, including transit, handling, loading and unloading. The Customer shall ensure, where available and agreed by its insurer, that the policy includes a waiver of subrogation in favour of TESSA, its representatives and subcontractors. Evidence of insurance shall be provided upon request and before mobilisation. Any arrangement for TESSA to obtain insurance must be expressly confirmed in writing.
- Ensure authorised people are present and reachable at collection and delivery, with access permissions and identification.
- Review confirmations and notify TESSA of errors or changes promptly. The Customer bears costs and delay caused by inaccurate, incomplete or late information.
- Not instruct TESSA or a Courier to evade security, customs, sanctions, carrier, aviation, safety or other legal requirements.
7Customs and regulated goods
The Services do not include customs declarations, customs clearance or customs representation. A Consignment subject to customs formalities (including carriage outside the EU, commercial goods or an ATA Carnet) is carried only under a separate written customs mandate or annex agreed before collection. Clearance is carried out by a licensed customs broker or the Customer, and delivery times are extended by the time customs processing requires. TESSA is not liable for customs delays, duties, taxes or penalties.
8Prohibited and restricted consignments
TESSA may refuse, pause, return, surrender to an authority or arrange safe disposal of any item that is unlawful, unsafe, misdescribed, inadequately packed, undocumented, sanctioned or prohibited by a carrier or authority. Without prior written acceptance and all required compliance arrangements, the following are prohibited:
weapons, ammunition, explosives, incendiaries or realistic replicas;
dangerous goods, including undeclared lithium batteries, compressed gases, fuels, chemicals, and radioactive, infectious, toxic, corrosive or flammable material;
controlled drugs, illegal substances, counterfeit goods, stolen property, unlawful material or proceeds of crime;
cash, negotiable instruments, bearer securities, bullion, precious stones, jewellery, fine art or irreplaceable items;
live animals, human remains, organs, biological samples, food, plants or temperature-controlled goods;
personal data, identity documents, confidential records or keys where carriage would be unlawful or the security protocol has not been agreed;
any item subject to export control, sanctions, customs, cultural-property, endangered-species or dual-use restrictions without full disclosure and approval.
A listed category may be considered only through a specific written Service Order after compliance review; listing is not an offer to carry it. The Customer must reimburse reasonable costs, penalties, losses and professional fees arising from breach of this section, except to the extent caused by TESSA’s own breach or where mandatory consumer law prevents recovery.
9Screening, inspection and authorities
TESSA, carriers, airports, customs, security providers or authorities may screen, open, inspect, test or detain a Consignment as legally permitted. TESSA is not responsible for lawful actions of an authority or carrier outside its control. If information suggests illegality or risk, TESSA may request further evidence, suspend performance and make disclosures required by law, including mandatory reporting under anti-money-laundering or sanctions rules.
10Collection, custody and delivery
Custody begins when TESSA or the identified Courier physically accepts the Consignment and records collection. It ends on delivery to the named Recipient, an authorised representative, or another place or person expressly agreed in the Service Order. Delivery is made only after an identity check, and nobody may sign for the Recipient, including the Courier. Evidence may include a name, signature, timestamp, photograph, access record or electronic confirmation.
If collection or delivery cannot be completed, TESSA will seek instructions where reasonably possible and does not leave the Consignment unattended unless the Customer instructs it in writing. TESSA may wait, reroute, hold in secure interim custody, return, or take another reasonable protective step at the Customer’s cost. Where immediate action is necessary to protect people, property, lawfulness or the Consignment, TESSA may act without prior instructions.
11Subcontractors and third-party transport
TESSA may use airlines, charter operators, rail or road carriers, partner couriers, customs agents, FBOs, hotels or other suppliers. Their mandatory conditions and international conventions may apply to their part of the movement. TESSA remains responsible for its contractual obligations to the extent required by law but does not control third-party schedules, security decisions, border processes or operational disruptions.
12Prices, taxes and payment
Prices are in the currency stated in the Service Order and exclude VAT and similar taxes unless stated otherwise; VAT is added where applicable. A quote is valid for the stated period and assumes the facts provided remain accurate. The Customer must pay the agreed deposit or full price by the stated deadline; time-critical bookings may require immediate cleared payment.
Additional reasonable charges are payable for customer-requested changes, waiting, failed collection or delivery, rerouting, accommodation, replacement travel, baggage fees, customs or authority charges, storage, return, disposal, exceptional security, or facts not disclosed when quoted. TESSA will seek approval where practicable, but may incur urgent protective or compliance costs without prior approval.
Business Customers. Undisputed invoices must be paid without set-off or deduction by the due date. Overdue sums may accrue statutory late-payment interest and recovery costs. A disputed invoice must be queried promptly, identifying the amount and reasons; undisputed amounts remain payable.
Consumers. Charges apply only as permitted by mandatory law.
13Changes and cancellation by the Customer
A requested change is effective only when TESSA confirms it, and repricing may be required. If a Customer cancels, the Customer must pay Services already performed, committed third-party costs, non-refundable travel or booking costs, and the cancellation charge stated in the Service Order. Any remaining prepaid amount will be refunded. For Consumers, this applies only to the extent permitted by mandatory consumer law and the withdrawal rules below; TESSA will provide the total price or calculation method and material cancellation terms before the Consumer is bound.
14Consumer right of withdrawal
A Consumer who concludes a distance or off-premises service contract generally has 14 days from conclusion to withdraw without giving a reason, subject to statutory exceptions. To withdraw, send an unequivocal statement to desk@tessadesk.com (or by post to the registered office above) before the period expires. The model form below may be used but is not mandatory.
If the Consumer expressly requests performance during the withdrawal period, the Consumer must pay a proportionate amount for Services performed before withdrawal. If the Service has been fully performed during the withdrawal period after the Consumer’s prior express consent and acknowledgement that the right will be lost on full performance, the right to withdraw is lost. Other statutory exceptions may apply, including certain passenger-transport, accommodation, vehicle-rental, catering or leisure services for a specific date or period; TESSA will not assume an exception applies without a proper legal basis.
Model withdrawal form — I/We give notice that I/We withdraw from my/our contract for the following service:
| To | SIA “TESSA ONE”, Augusta Deglava iela 122 - 63, Rīga, LV-1082, Latvia, desk@tessadesk.com | ||
|---|---|---|---|
| Service withdrawn from | Ordered on | ||
| Consumer name | Consumer address | ||
| Signature (paper only) | Date | ||
15Cancellation or suspension by TESSA
TESSA may suspend or cancel before completion if payment is not made, information or documents are missing or unreliable, the Consignment is prohibited or unsafe, performance would breach law or third-party rules, a Customer is abusive or places a person at risk, or an event outside reasonable control makes performance impossible or materially different. TESSA will notify the Customer when lawful and practicable. Amounts for unperformed Services will be refunded after deducting lawful charges and unavoidable commitments, unless cancellation results from the Customer’s breach.
16Events outside reasonable control
Neither party is liable for delay or failure caused by an event it could not reasonably control or overcome, including severe weather, airport or airspace closure, flight cancellation, war, terrorism, civil disorder, epidemic, border action, sanctions change, authority decision, strike, transport or communications failure, cyber incident or supplier failure. The affected party must notify the other and take reasonable steps to reduce the effect. This section does not excuse payment for Services already supplied or override mandatory consumer remedies.
17Loss, damage, delay and liability
Reporting. The Customer must inspect on delivery and report visible loss or damage immediately on the proof of delivery where practicable. Business Customers must report loss or damage not apparent at delivery in writing within 7 days of delivery and submit any claim within 30 days, with the Service Order, value evidence, photographs, Assignment Documents and a description of mitigation. Consumers should report without undue delay; late notice does not remove rights that cannot lawfully be excluded.
Responsibility. TESSA is responsible for direct loss caused by its failure to use reasonable care and skill or other breach, subject to these Terms and mandatory law. TESSA is not responsible for inherent defect, inadequate packing by others, ordinary wear, undisclosed fragility, inaccurate instructions, authority action, lawful screening, sanctions, prohibited contents, or delay outside its reasonable control.
Business Customers. To the fullest extent permitted by applicable law, TESSA shall not be liable for any indirect, incidental or consequential loss, including loss of profit, revenue, production, contracts, business opportunities, goodwill, anticipated savings, business interruption, production downtime, penalties or loss of market.
TESSA’s aggregate liability arising out of or in connection with a Service Order, whether in contract, tort (including negligence) or otherwise, shall be limited to the amount expressly agreed in writing between TESSA and the Customer for the relevant assignment. Where no separate liability limit has been agreed, TESSA’s liability shall be determined in accordance with applicable law.
The above limitations apply only to the extent permitted by applicable law and do not exclude or limit liability that cannot lawfully be excluded or limited. The Customer is responsible for maintaining appropriate cargo insurance covering the full declared value of the Consignment and any exposure exceeding TESSA’s agreed liability limit.
Consumers. TESSA does not exclude or limit liability where doing so is prohibited, including liability for intentional conduct or gross negligence where it cannot be limited, death or personal injury caused by negligence, fraud, breach of mandatory consumer rights, or other non-excludable liability. A Consumer may recover losses that were reasonably foreseeable when the contract was made, subject to mandatory law and the duty to mitigate.
Conventions. Any mandatory international convention or transport law applies with priority and may impose different limits, defences, notice periods or jurisdiction rules. Where applicable, the Montreal Convention governs the liability of the relevant air carrier in accordance with its scope and provisions. Nothing in these Terms automatically extends an air carrier’s liability limits to TESSA or removes the Customer’s direct rights against that carrier.
18Cargo insurance
Business Customers. The Customer is responsible for arranging and maintaining all-risk cargo insurance covering the full declared value of the Consignment from collection to final delivery, including all stages of transit, handling, loading and unloading. The Customer should ensure that the insurance includes a waiver of subrogation in favour of TESSA, its representatives and subcontractors, to the extent available and agreed by the insurer.
The Customer shall provide evidence of valid insurance upon TESSA’s request and, in any event, before mobilisation where requested by TESSA. The Customer remains responsible for any uninsured or underinsured loss.
TESSA does not arrange cargo insurance as part of its standard Services. TESSA may, upon the Customer’s written request, agree to arrange cargo insurance through an insurance broker, subject to insurer acceptance, the provision of all required shipment and valuation information, written confirmation of the scope of cover, and payment of the applicable premium and charges in full before mobilisation. No insurance cover shall be deemed effective unless confirmed in writing by the insurer or authorised broker.
Consumers. Consumers are responsible for considering whether insurance is appropriate for their Consignment. TESSA will clearly identify in the Service Order whether any insurance has been expressly arranged by TESSA. No insurance cover is included unless expressly confirmed in writing.
Any reference to TESSA’s own business or professional insurance is not a representation that the Customer or Consignment is insured under that policy. TESSA does not guarantee the acceptance or payment of any insurance claim.
19Confidentiality and publicity
Each party must protect non-public commercial, operational, personal, security and client information received in connection with an engagement, use it only for the engagement and legal compliance, and disclose it only to people who need it and are bound by appropriate duties. Disclosure is permitted where required by law or an authority. These duties do not cover information that is lawfully public, already known without restriction, independently developed, or lawfully received from another source. A separate NDA prevails where inconsistent. Neither party may use the other’s name, marks, route, Consignment or engagement for publicity without written permission.
20Data protection
Each party must comply with applicable data-protection law. TESSA’s processing as controller is described in the Privacy Policy. If an engagement requires TESSA to process personal data solely on a Business Customer’s documented instructions, the parties will enter an appropriate data-processing agreement before that processing begins. The Customer must not provide excessive or unlawfully obtained personal data.
21Intellectual property and website use
The website, brand, copy, graphics, photographs, video, layout and other content are owned by or licensed to TESSA and protected by intellectual-property law. TESSA grants a limited, revocable, non-transferable permission to access the website for legitimate enquiries and business evaluation. Users must not scrape, copy, republish, reverse engineer, interfere with security, introduce malicious code, impersonate another person or use the site unlawfully. Links may be shared fairly and without implying endorsement.
22Complaints and disputes
Please send complaints promptly to desk@tessadesk.com with the Service Order reference, facts, requested resolution and supporting evidence. TESSA will acknowledge and seek to resolve the complaint within a reasonable time. Consumers may also contact the Latvian Consumer Rights Protection Centre (PTAC) and use any applicable statutory out-of-court dispute process.
23Governing law and courts
These Terms and each contract are governed by Latvian law, without prejudice to mandatory rules or international conventions. For Business Customers, the courts of Latvia have exclusive jurisdiction unless the Service Order agrees arbitration or another forum. A Consumer may bring proceedings in any court available under mandatory consumer-jurisdiction rules and retains the mandatory protections of the country of habitual residence where applicable.
24General provisions
Notices: operational notices may be sent by email, telephone or an agreed messaging channel; formal legal notices must be sent by email plus registered post or another traceable method to the stated contact details.
Assignment: a Consumer may not transfer the contract without consent; a Business Customer may not assign without written consent. TESSA may assign to a successor or affiliate if this does not reduce mandatory rights.
No partnership: the contract creates no employment, partnership, agency, fiduciary duty or joint venture except by specific written authority.
No waiver: delay in enforcing a right is not a waiver.
Severability: an invalid provision is adjusted or removed to the minimum extent necessary; the rest remains effective.
Entire agreement: the Service Order, these Terms, the Assignment Documents and any signed NDA or data-processing agreement contain the agreement, subject to liability that cannot be excluded and mandatory pre-contract information.
Changes: the version accepted when a Service Order is formed governs that order. Updated website Terms apply prospectively and show a new effective date.
Language: if a translation is provided, the English version prevails to the extent permitted by mandatory law; Consumers must receive legally required information in an appropriate language.
